The legal agreement governing your use of the MedConnect AI platform and services.
We are MED-C AI Solutions India Private Limited, doing business as MedConnect Ai ('Company', 'we', 'us', or 'our'), a company registered in India (CIN: U62090KA2025PTC200428).
We operate the website https://medconnectai.com (the 'Site'), the mobile application MedConnect Ai (the 'App'), as well as any other related products and services that refer or link to these legal terms (collectively, the 'Services').

Our licensed payment processor is RazorPay (Razorpay Software Private Limited), a Payment Aggregator authorised by the Reserve Bank of India. Depending on the Package selected, RazorPay either processes the Client's own subscription or add-on invoice directly, or, for consumption-based Packages, processes per-credit charges as described in Clause 5.3.
MedConnect Ai is offered through named Package tiers, each with its own billing mode, fee, visit cap and staff cap:
Current fees, visit caps and staff caps for each Package are published on the Site's pricing page and the Software Subscription Agreement (Schedule C), and are incorporated into these Legal Terms by reference.
(a) Subscription Packages (Notes Only, General Practice, Clinic Small/Medium/Large, Hospital (Annual)): the Client is invoiced directly for the selected Package's Annual or Monthly fee, and RazorPay processes this invoice as the Client's payment method; no amount is deducted from individual Patient payments.
(b) Hospital (Credits): the Client is billed on a consumption basis, charged per credit unit consumed at the published Credit Unit rate, rather than a fixed subscription fee. The Company will confirm in the Client's Order Form whether Credits-tier billing is settled directly with the Client or via RazorPay's split-settlement mechanism against Patient payments.
(c) Visit Pack top-ups: where a Package's visit cap is reached, the Client may purchase an additional Visit Pack (currently offered in 1,000 / 2,000 / 3,000-visit increments) at the rate published on the pricing page.
Optional add-on modules (including Management Reports, Radiology / Pathology / Pharmacy logins, Patient Portal, Telehealth, and Website Build and Booking Integration) may be purchased separately and are billed Annually, Monthly, or as a one-time fee as indicated on the current Add-on Price list.
GST is applicable to Package fees, Visit Pack purchases and add-on fees at the prevailing rate. The Company is responsible for collecting GST and remitting it to the relevant Indian tax authorities; the GST component will be disclosed on the Client's invoice.
Current Package fees, Visit Pack prices, add-on prices, visit caps and staff caps are published at https://medconnectai.com/pricing/ and are incorporated into the Software Subscription Agreement. Rates may be updated from time to time with reasonable notice to existing clients.
There is no fixed subscription term or automatic renewal on any Package, whether billed Annually or Monthly. Either Party may terminate the arrangement on thirty (30) days' written notice. Refund treatment for any pre-paid but unused portion of an Annual Package is as set out in the Software Subscription Agreement.
We may change our published Package fees, Visit Pack prices or add-on prices at any time. Existing clients will receive at least thirty (30) days' notice of any rate change affecting their active Package.
Clients on non-India regional pricing plans (for example, Australia) are billed under separate terms set out in their Order Form. This Section 5 applies to the India Package structure described above.
You may only access and use the MedConnect Ai Services for lawful purposes, in accordance with these Terms, and solely for the clinical, administrative, and patient-management functions for which the Services are made available.
Systematically retrieve, scrape, or extract data without our prior written consent; collect patient health records you are not lawfully authorised to access.
Trick, defraud, or obtain sensitive account information; circumvent, disable, or interfere with security, encryption or authentication features.
Upload or transmit viruses, worms, Trojan horses, spyware or ransomware; engage in denial-of-service attacks or disruptive automated activities.
Use information from the Services to harass, abuse or harm any person; delete, modify or obscure proprietary rights notices; reverse-engineer the platform.
Attempt to impersonate another user, doctor, clinic or entity; create accounts by automated means or under false pretences.
Use the Services in violation of applicable law, regulation, or medical ethics; use the Services to build or promote a competing product or service.
Harass, intimidate or threaten any of our employees, agents, doctors, patients or support staff.
By posting Contributions to any part of the Services, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to use, copy, reproduce, distribute, publish, reformat, translate and exploit your Contributions for any lawful purpose. You retain ownership of your Contributions; we do not assert ownership over them.
If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices you own or control. You shall not: decompile, reverse engineer, or attempt to derive the source code of the App; make modifications or derivative works; use the App for revenue-generating endeavours not contemplated by these Terms; or use the App to build a competing product or service.
Apple and Android devices: the licence for each App Distributor's platform is limited to a non-transferable right to use the App on the applicable operating system. The App Distributors are third-party beneficiaries of these Terms.
The Services may contain links to Third-Party Websites and content. Such Third-Party Websites and content are not investigated, monitored, or checked by us, and we are not responsible for their content, accuracy, or privacy practices. Any purchases through Third-Party Websites are exclusively between you and the applicable third party.
We reserve the right to monitor the Services for violations of these Legal Terms; take appropriate legal action against violators; restrict access to or disable any Contributions at our sole discretion; and otherwise manage the Services in a manner designed to protect our rights and property.
Please review our Privacy Policy at medconnectai.com/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services, including blocking certain IP addresses, to any person for any reason, including breach of any representation, warranty, or covenant contained in these Legal Terms.
We reserve the right to change, modify, or remove the contents of the Services at any time at our sole discretion. We cannot guarantee the Services will be available at all times. Service interruptions, delays or errors may occur due to maintenance, hardware, software, or other issues.
These Terms and Conditions shall be governed by, and construed in accordance with, the laws of India. The courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction to resolve any dispute arising in connection with these Terms.
The Parties shall first attempt to resolve any dispute amicably through good-faith negotiations within sixty (60) days of written notice.
Disputes not resolved amicably shall be referred to final binding arbitration under the Arbitration and Conciliation Act, 1996. Seat: Bengaluru, Karnataka, India. Language: English.
Arbitration shall be limited to individual disputes only. No class-action or representative arbitration is permitted.
Intellectual property enforcement, theft, piracy, and injunctive relief claims are subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
We reserve the right to correct any errors, inaccuracies or omissions in the Services, including descriptions, pricing and availability, at any time without prior notice.
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services. Our aggregate liability shall not exceed the total per-visit fees paid by you during the three (3) months preceding the cause of action.
You agree to defend, indemnify and hold us harmless from and against any loss, damage, liability, claim or demand arising out of: your Contributions; use of the Services; breach of these Legal Terms; breach of your representations and warranties; violation of a third party's rights; or any overt harmful act toward another user of the Services.
We will maintain certain data you transmit to the Services for the purpose of managing the performance of the Services. You are solely responsible for all data you transmit. We shall have no liability for any loss or corruption of such data.
Visiting the Services, sending us emails and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices and disclosures provided electronically satisfy any legal requirement that such communication be in writing.
These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to exercise any right or provision shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. If any provision is unlawful, void or unenforceable, it is deemed severable and does not affect the remainder.
